Terms of Service

Please read these Terms of Service (“Terms”) with care. They form a binding agreement between you and ONLYHUMN LLC about your use of Memlane. If you do not accept them, do not use the service.

1. The parties and the service

Memlane is operated by ONLYHUMN LLC, 1007 N Orange St, 4th Floor, Suite #5984, Wilmington, Delaware 19801, United States(“Memlane”, “we”, “us”). “You” means the person who holds the account. “Service” means the Memlane web application, this website, and the notifications we send you.

Memlane is a relationship and contact manager. It syncs with your iCloud contacts and adds dossiers, Notes, Lanes, Routines, Meetups, Webs, and an AI assistant on top of them. Your iCloud account stays the system of record for your contacts.

2. Acceptance and changes

You accept these Terms when you create an account or use the Service. We can change these Terms. The date at the top shows the last change. For a material change we give notice in the application or by email before it takes effect. If you continue to use the Service after that date, you accept the new Terms. If you do not accept them, stop using the Service and delete your account.

3. Eligibility

You must be at least 18 years old and able to form a binding contract. You must not use the Service if the law of your country prohibits it, or if we have suspended your account before.

4. Your account

  • You sign in with your Apple ID. Keep that account and your device secure.
  • You connect your contacts with an app-specific password. You can revoke it at any time in your Apple ID settings.
  • You are responsible for all activity under your account, and for the accuracy of the email address and phone number you give us.
  • Do not share your account with another person.
  • Tell us at once if you suspect that somebody else has access.

5. Your content

You keep all rights in the contacts, notes, dossiers, and other content you put into Memlane (“Your Content”). You give us only the licence we need to operate the Service for you: to store, copy, transmit, display, and process Your Content, and to send the necessary parts of it to the providers listed in the Privacy Policy. This licence ends when you delete the content or your account, except for copies in routine backups that age out.

You confirm that you have the right to store the personal information of the people in your contacts, and that you will use it in a lawful way. You, not Memlane, are responsible for how you contact them.

6. Acceptable use

  • Do not use Memlane to send spam or unwanted messages.
  • Do not use Memlane for unlawful, deceptive, harassing, or infringing activity.
  • Do not probe, scan, overload, or attack the Service.
  • Do not try to reach data that belongs to another user, or to bypass plan limits, rate limits, or security controls.
  • Do not resell the Service, or use automated means to extract data from it, without our written permission.

The End User License Agreement sets out the further limits on your licence to use our software.

7. AI features

The AI assistant produces text from the contact and dossier data you give it. Output can be wrong, incomplete, or out of date. Check it before you act on it. Do not treat it as legal, medical, financial, or other professional advice. You remain responsible for every message you send and every decision you make.

8. Notifications

Queue notifications go to the email address and, if you turn SMS on, the mobile number you save in Settings. SMS needs a one-time verification reply. You can turn either channel off in Settings, and you can reply STOP to a text message to stop SMS. Your carrier may charge for messages. We still send essential account and security email while your account exists.

9. Memlane Pro, billing, and cancellation

  • Memlane has a free tier with limits, and a paid tier called Memlane Pro. The application shows the current limits for each tier, and we can change them.
  • Stripe processes Memlane Pro payments. The price, billing period, and any taxes appear at checkout before you pay.
  • A subscription renews automatically at the end of each billing period until you cancel it.
  • You can cancel at any time in the billing portal in Settings. Cancellation stops the next renewal, and your Pro features run to the end of the period you already paid for.
  • Payments are not refundable for a part of a period, except where the law requires a refund.
  • If a payment fails, we can move your account to the free tier and apply the free limits.
  • We can change prices. A price change applies to your next billing period, and we give notice before it takes effect.

10. Third-party services

The Service works with providers such as your contacts and identity provider, Stripe, and the providers named in the Privacy Policy. We do not control them. Their own terms apply to their part of the work, and we are not responsible for an outage, change, or act of a provider that is outside our control.

11. Our intellectual property

We own the Service, its software, design, and the Memlane name and marks. These Terms give you no right to use our marks. If you send us feedback or an idea, we can use it to improve the Service without payment or obligation to you.

12. Availability and changes to the Service

We can add, change, or remove features, and we can set or adjust technical limits. We try to keep the Service available, but we do not promise uninterrupted operation. Maintenance, a provider fault, or a security event can interrupt it. For a material reduction of a feature you pay for, we give notice in the application or by email.

13. Suspension and termination

You can stop at any time and delete your account in Settings. We can suspend or close an account that breaks these Terms, that creates a security or legal risk, or that we must act on by law. Where it is reasonable, we give notice first and a chance to correct the problem. After termination, sections 5, 11, 14, 15, 16, and 17 continue to apply.

14. Disclaimer of warranties

The Service is provided “as is” and “as available”, without warranty of any kind, whether express, implied, or statutory. To the extent the law permits, we disclaim the implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant that the Service will be free of faults, that a sync will always succeed, or that AI output will be correct. Memlane is not a backup service — keep your own copy of anything you cannot lose.

15. Limitation of liability

To the extent the law permits, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost business, or lost or corrupted data, even if we knew that such damage was possible. Our total liability for all claims that relate to the Service is limited to the greater of the amount you paid us in the twelve months before the claim, or one hundred United States dollars (USD 100). Some jurisdictions do not allow these limits, so a part of this section may not apply to you.

16. Indemnification

You will defend and indemnify us against any claim, loss, or cost that results from your use of the Service in breach of these Terms, from Your Content, or from your handling of another person’s personal information.

17. Governing law and disputes

The laws of the State of Delaware, United States govern these Terms and any dispute about them, without regard to conflict-of-law rules. You and we submit to the exclusive jurisdiction of the state and federal courts located in Delaware. Before you file a claim, please write to us so that we can try to settle the matter.

18. General

  • These Terms, the End User License Agreement, and the Privacy Policy are the entire agreement between you and us about the Service.
  • If a court holds a provision to be unenforceable, the rest stays in force.
  • If we do not enforce a right at once, we do not waive that right.
  • You cannot transfer these Terms. We can transfer them to an affiliate or to a buyer of the business.
  • Neither party is liable for a delay caused by an event outside its reasonable control.
  • We can give you notice in the application or at the email address on your account.
