End User License Agreement

This End User License Agreement (“Agreement”) governs your licence to use the Memlane software. ONLYHUMN LLC, 1007 N Orange St, 4th Floor, Suite #5984, Wilmington, Delaware 19801, United States(“Memlane”, “we”, “us”) grants the licence. You accept this Agreement when you use Memlane.

Memlane is a hosted service. We run the software on our own servers and give you access to it through your browser. You do not receive a copy of the software, and this Agreement gives you no right to one.

1. Licence grant

We grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable licence to access and use the Memlane software through your account, for your own relationship and contact management. The licence lasts while your account is active and while you follow this Agreement and the Terms of Service. Your tier of account sets the features and limits available to you.

2. Ownership

We and our licensors own the software, its source code, design, databases, interfaces, and the Memlane name and marks. We reserve every right that this Agreement does not grant to you in express words. This Agreement is a licence, not a sale, and it transfers no ownership.

3. Restrictions

You must not, and must not allow another person to:

  • copy, modify, translate, or create a derivative work of the software;
  • reverse engineer, decompile, or disassemble the software, or try to discover its source code or underlying structure, except to the extent that the law expressly permits;
  • sell, rent, lease, sublicense, distribute, or host the software for a third party, or make it available as a service bureau;
  • use the software to build a competing product, or to benchmark it for publication, without our written permission;
  • scrape the service, or use a robot, crawler, or other automated means to access it, other than through an interface we document;
  • bypass or interfere with a plan limit, rate limit, authentication step, or other security or access control;
  • probe, scan, or test the vulnerability of the service without our written permission, or breach any security or authentication measure;
  • remove, obscure, or alter a copyright, trademark, or other proprietary notice;
  • use the software in a way that overloads it or degrades it for other users.

4. Your content

You keep all rights in the content you put into Memlane. This Agreement gives us no ownership of it. The Terms of Service state the limited licence we need to operate the service for you, and the Privacy Policy explains how we handle it.

5. Feedback

If you send us feedback, a bug report, or an idea about the software, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use it to improve our products. You have no obligation to send feedback.

6. Updates and changes

We update the software as we operate it. An update can add, change, or remove a feature. This Agreement covers each updated version, and we do not have to keep an earlier version available.

7. Term and termination

This Agreement runs while your account exists. It ends at once when you delete your account, or when we close or suspend it under the Terms of Service, or if you breach this Agreement. When it ends, you must stop using the software. Sections 2, 4, 5, 8, 9, and 10 continue after it ends.

8. No warranty

The software is licensed “as is”, without warranty of any kind. To the extent the law permits, we disclaim the implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant that the software will operate without fault or interruption.

9. Limitation of liability

The limitation of liability in section 15 of the Terms of Service applies to this Agreement, and it sets the maximum liability we carry for the software.

10. Governing law

The laws of the State of Delaware, United States govern this Agreement, without regard to conflict-of-law rules. If a provision is unenforceable, the rest stays in force. If this Agreement and the Terms of Service disagree about the licence to the software, this Agreement prevails.
